The master agreement between you and Glydr — what the platform is, what it isn't, and the rules everyone agrees to.

Working draft — pending final legal review. This page describes how Glydr intends to operate during our Accra pilot. We are finalising review with Ghana-qualified counsel and will publish the signed-off version before the public launch. Questions or feedback: legal@glydr.africa.
1. About Glydr and these Terms
These Terms of Service (“Terms”) are a binding agreement between you and Glydr Ltd (registration pending) (“Glydr”, “we”, “our”), with its registered office at Accra, Ghana — full address to be confirmed before public launch. By creating a Glydr account, or by using the Glydr website, mobile app, or any related service (together, the “Platform”) you accept these Terms.
These Terms are concluded electronically under sections 13 to 17 of the Electronic Transactions Act, 2008 (Act 772) and are enforceable as a written contract under Ghana law.
1.1 Key definitions
- Platform
- The Glydr website at glydr.africa, the Glydr mobile apps, and any backend service operated by Glydr.
- Driver
- A verified individual who lists a Trip on the Platform with one or more empty seats in a private motor vehicle.
- Passenger
- A verified individual who books a seat on a Driver’s Trip.
- Trip
- A journey listed by a Driver, with a planned origin, destination, time, and number of available seats.
- Cost Contribution
- The per-seat amount paid by a Passenger as their share of the Driver’s running costs for the Trip. Not a fare.
- Platform Fee
- The 10% technology service fee Glydr charges per completed Trip.
- KYC
- The Know Your Customer identity-verification process operated for Glydr by Smile Identity (Ghana Card plus face liveness for everyone; driving licence for Drivers).
2. What Glydr is — and isn’t
Glydr is a technology platform that introduces Drivers and Passengers who are heading in the same direction. Glydr is not a transport provider, taxi service, ride-hailing service, or commercial passenger carrier.
Specifically, Glydr does not:
- own, operate, lease, or insure any motor vehicle;
- employ, engage as agent, or partner with any Driver;
- set, collect, or guarantee a commercial fare;
- assume the duties of a carrier under the Road Traffic Act, 2004 (Act 683) or the Road Traffic Regulations, 2012 (L.I. 2180).
Every Trip on Glydr is a cost-shared private journey: the Driver is going anyway, and Passengers pay a share of the Driver’s running costs (fuel, vehicle wear). The Platform Fee is the technology fee Glydr charges for use of the matching, payments, and safety stack — it is not a commission on a transport sale.
Cost-share representation.By creating a Trip on Glydr, the Driver represents that the journey is one they were otherwise making, that they are not a professional commercial passenger carrier, and that they accept Glydr’s per-seat cost-share formula and trip-frequency caps. See the Driver Agreement.
3. Eligibility and your Glydr account
You may use the Platform only if all of the following are true:
- You are at least 18 years old and have full legal capacity to contract under Ghana law.
- You have a valid Ghana Card and are able to complete identity verification through Smile Identity.
- You provide accurate, current, and complete information when you register and keep it updated.
- You comply with all applicable laws — Ghana’s in particular — while using the Platform.
You are responsible for everything that happens on your account. Keep your phone OTP, app PIN, and device secure. If you suspect your account has been used by someone else, contact safety@glydr.africa immediately.
4. The cost-share character of Trips
Glydr’s Platform-wide controls preserve the cost-share character of every Trip. These controls are non-negotiable:
- Price formula.The suggested per-seat Cost Contribution is computed from the Trip’s distance and a published per-km reference cost (fuel and wear). Drivers may adjust downward but not above the published cap.
- Trip-frequency caps.An individual Driver may not exceed (i) two long-distance Trips per direction per week (currently the Accra ↔ Kumasi corridor), or (ii) two short in-Accra Trips per day. Caps may be adjusted by Glydr to preserve the cost-share character; we will give 30 days’ notice before lowering caps below current levels.
- No professional carriers. Holders of a Category D (or equivalent commercial) driving licence may not onboard a commercial vehicle as a Glydr Driver. Personal vehicles only.
- Audit logs. Glydr keeps Trip records (route, timestamps, Cost Contribution) for legitimate-interest auditing and for response to any regulator enquiry.
5. Booking, payment, and escrow
5.1 How a booking is formed
A Passenger requests a seat on a listed Trip. The Passenger pays the Cost Contribution into escrow at the moment of booking, via the mobile-money or card channel they select. The Driver accepts or declines. A booking is formed when the Driver accepts.
5.2 Escrow window
Glydr holds the Cost Contribution in escrow. The funds, less the 10% Platform Fee, are released to the Driver 24 hours after the Passenger confirms the Trip completed. If the Passenger does not actively confirm or report an issue within 24 hours of the Trip’s recorded end-time, the Trip auto-confirms and the funds are released.
5.3 Payment channels
Mobile money via Flutterwave (MTN MoMo, Telecel Cash, AirtelTigo Money) and card via Flutterwave. By initiating a payment, you authorise Glydr to instruct Flutterwave to debit the amount you specify.
Payment processor. Glydr does not store your card number, card PIN, or mobile-money wallet PIN. We receive a transaction reference from Flutterwave. See the Privacy Policy for the full processor list.
6. Cancellation, refunds, no-shows
Cancellation windows, refund tiers, and no-show consequences are set out in the Cancellation & Refund Policy, which forms part of these Terms.
7. The safety stack
Every Trip booked on Glydr includes the safety features described in the Safety Policy: KYC on both sides, live location sharing with an emergency contact, an SOS button that alerts Glydr operators and your emergency contacts, and mandatory destination check-in. By accepting these Terms you consent to those features running on your behalf during a Trip.
You agree to use those features honestly. Triggering an SOS or check-in alarm without cause may result in suspension.
8. Acceptable use
The Community Guidelines set out conduct rules in full. The non-exhaustive list below is the sharp end:
- No off-platform payments. Drivers must not request cash; Passengers must not offer it.
- No harassment, discrimination, threats, weapons, or unlawful substances.
- No use of the Platform to provide commercial passenger transport for hire or reward.
- No falsified KYC, no shared accounts, no impersonation.
- No scraping, reverse-engineering, or attempting to circumvent rate limits or the safety stack.
Glydr may suspend or terminate your account for any breach. Serious or repeated breaches may be referred to the Ghana Police Service.
9. Insurance and risk acknowledgement
Read the full Insurance Disclosure. In short:
- Drivers carry private motor insurance on their own vehicles. Under Ghana’s Motor Vehicles (Third Party Insurance) Act, 1958, mandatory third-party cover responds for third parties on the road regardless of the carrying-for-hire-or-reward question.
- Private comprehensive policies in Ghana typically exclude cover where the vehicle is carrying passengers for hire or reward. We disclose this risk to every Passenger before their first booking.
- Glydr may, but does not currently, carry supplemental marketplace passenger-accident cover. If we do, we will say so plainly on the Insurance Disclosure page; until then, we don’t.
10. Privacy and data protection
Glydr is a data controller under the Data Protection Act, 2012 (Act 843). The Privacy Policy sets out what we collect, why, who processes it, where it goes, how long we keep it, and how you exercise your rights — including how to complain to the Data Protection Commission.
By accepting these Terms you confirm you have read the Privacy Policy and consent to the processing it describes.
11. Intellectual property
Glydr owns the Platform, the Glydr name and logo, the in-app designs, and all related intellectual property. We grant you a limited, revocable, non-exclusive licence to use the Platform for its intended purpose. You may not copy, reverse-engineer, modify, distribute, or build derivative works without our written consent.
Content you submit (Trip descriptions, ratings, chat messages, photos) remains yours; you grant Glydr a worldwide, royalty-free licence to host, display, and process that content for the purpose of operating the Platform.
12. Disclaimers and limitation of liability
The Platform is provided “as is”. To the maximum extent permitted by Ghana law, Glydr disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service.
To the maximum extent permitted by Ghana law, Glydr is not liable for any loss, damage, injury, death, or other harm arising from:
- the conduct of any Driver or Passenger;
- the condition of any motor vehicle used on a Trip;
- decisions or omissions by Flutterwave, Smile Identity, Firebase Cloud Messaging, Cloudflare R2, Resend, Sentry, mnotify, Vercel, Railway, or any other third-party processor;
- regulator action, insurer action, force majeure, or events outside Glydr’s reasonable control.
Glydr’s aggregate liability to you in any 12-month period is capped at the greater of (a) the total Platform Fees you paid in that period and (b) GHS 5,000 — placeholder pending counsel review.
Nothing in these Terms limits or excludes any statutory right you have as a consumer under Ghana law that cannot lawfully be limited or excluded.
13. Indemnity
You agree to indemnify and hold Glydr harmless from any third-party claim arising from (a) your breach of these Terms, (b) your misuse of the Platform, (c) your conduct on a Trip, or (d) your false or misleading representations during KYC or Trip listing.
14. Suspension and termination
Glydr may suspend or terminate your account at any time for breach of these Terms, for safety reasons, for reasons of fraud, or to comply with law. We will give you reasonable notice and the chance to be heard unless immediate action is required.
You may close your account at any time from within the Glydr app. Closing your account does not relieve you of obligations that accrued before closure (for example, payment obligations on completed Trips, or document-retention obligations on Drivers).
15. Disputes, governing law, and jurisdiction
These Terms are governed by the laws of the Republic of Ghana.
Before commencing any court action, the parties will use the complaints process set out in our Complaints & Dispute Resolution page in good faith.
Unresolved disputes will be subject to the exclusive jurisdiction of the courts of Ghana, sitting in Accra — subject to any alternative dispute resolution mechanism the parties may agree in writing under the Alternative Dispute Resolution Act, 2010 (Act 798). Final dispute-resolution clause pending counsel finalisation.
16. Changes to these Terms
We will update these Terms when the Platform, the law, or our practice changes. Material changes will be notified to you by in-app message, push notification, or email at least 14 days before they take effect. You may close your account before the change takes effect if you do not accept it. Continued use after the effective date means you accept the updated Terms.
17. Miscellaneous
- Entire agreement. These Terms (together with the referenced policies and the Privacy Policy) are the entire agreement between you and Glydr.
- Severability. If a court holds any part of these Terms unenforceable, the rest remains in force.
- No waiver.Glydr’s failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign your account or these Terms. Glydr may assign these Terms to an affiliate or successor.
